1. Introduction

Welcome to Chem EnRich (“Platform”), operated by 10 Matrix Prime Pvt Ltd (“Company”, “We”, “Us”, “Our”). These Terms and Conditions (“Terms”) govern your use of our B2B chemical marketplace and product listing platform.

By accessing or using Chem EnRich, you (“User”, “Member”, “You”, “Your”) agree to be bound by these Terms. If you do not agree, please do not use the Platform.

4. User Registration & Account

4.1 Eligibility

• You must provide accurate, complete, and up-to-date information.
• You must have the authority to bind your organization to these Terms.

• You are solely responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activities conducted under your account.

5. Supplier Obligations

5.1 Product Listings

• List only lawful, genuine, and accurately described chemical products.
• Provide complete and accurate specifications, including: product name, CAS number, grade, purity, quantity, packaging, MOQ, pricing (where applicable), and certifications (SDS, TDS, COA).
• Prohibited: Counterfeit, illegal, hazardous, or restricted substances.

5.2 Inventory & Surplus Products

• If listing surplus/near-expiry inventory, clearly disclose batch numbers, expiry dates, quantity, condition (“near expiry”, “surplus stock”, “overstock”) and reason for sale (if applicable).

5.3 Compliance

• Comply with all applicable laws, including Indian Chemical Regulations, Import/Export Controls, Environmental and Safety Laws, and GST/Tax Compliance.
• Obtain necessary licenses (e.g., Dangerous Goods License for hazardous chemicals).

5.4 Product Quality & Documentation

• Ensure all products meet claimed specifications.
• Provide required documentation (SDS, TDS, COA) for each product listing.
• You are fully responsible for product quality, packaging, and safety.

5.5 Surplus/Near-Expiry Listings

• Clearly label surplus or near-expiry products.
• Provide accurate expiry dates and batch information.
• Price such products appropriately (e.g., discount for near-expiry).

6. Buyer Obligations

• Provide accurate specifications when inquiring about products.
• Use the Platform for legitimate business purposes only.
• Do not misuse the Platform for spam, phishing, or fraudulent activities.
• You are responsible for verifying product suitability with the Supplier.
• All transactions are solely between Buyer and Supplier.
• Chem EnRich does not facilitate payments or transactions.
• Provide genuine feedback on supplier interactions.
• In case of disputes, attempt to resolve directly with the Supplier. We may assist in mediation but are not liable for transaction outcomes.

8.1 Platform Content

• All content, design, logos, and code are the property of 10 Matrix Prime Pvt Ltd.
• You may not reproduce, modify, or distribute our content without prior written consent.

8.2 User Content

• You retain ownership of your product listings and uploaded content.
• By posting, you grant us a non-exclusive, royalty-free license to display and promote your content on the Platform.

9. Disclaimers & Limitation of Liability

9.1 Platform Role

Chem EnRich is an independent B2B marketplace platform. We are NOT:

• A buyer, seller, manufacturer, stockist, or trader.
• A party to any transaction between Buyers and Suppliers.
• Responsible for the quality, safety, purity, or legality of listed products.

9.2 Disclaimer of Warranties

The Platform is provided “AS IS” and “AS AVAILABLE”. We do not warrant:

• The accuracy, completeness, or reliability of any listing.
• Uninterrupted or error-free access.
• That the Platform will meet your specific business needs.

9.3 Limitation of Liability

To the maximum extent permitted by law, 10 Matrix Prime Pvt Ltd and Chem EnRich are NOT liable for:

• Direct, indirect, incidental, or consequential damages.
• Loss of profits, data, or business opportunities.
• Damages arising from transactions between Buyers and Suppliers.
• Delays, errors, or interruptions in service.
• Actions or misconduct of third-party users.

Maximum Liability: In no event shall our total liability exceed $100 (USD) or equivalent in INR.

You agree to indemnify and hold harmless 10 Matrix Prime Pvt Ltd, Chem EnRich, its directors, employees, and affiliates from any claims, damages, losses, or expenses arising from:

• Your use of the Platform.
• Your violation of these Terms.
• Your violation of any applicable laws or regulations.
• Any dispute between you and other users.

11. Termination

11.1 Termination by Us

We reserve the right to suspend or terminate your account at any time, without notice, if:

• You violate these Terms.
• You engage in fraudulent or illegal activities.
• Your actions harm the Platform or other users.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of India.

• If negotiations fail, disputes shall be submitted to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India.

16. Currency & Pricing

16.1 Display Currency

All prices on Chem EnRich are displayed in Indian Rupees (INR) and United States Dollars (USD). The displayed currency is based on your selected preference or location.

16.2 Base Currency

The base currency for all transactions is USD. INR prices are derived from USD using the prevailing exchange rate.

16.3 Exchange Rate

Exchange rates are updated daily. The rate applicable at the time of payment will be used for the transaction.

16.4 Payment Currency

You may choose to pay in INR or USD at checkout. The final charge will be in your selected currency.

16.5 Refund Currency

Any refunds, if applicable, will be issued in the same currency as the original payment. The refund amount will be the exact amount paid in that currency, irrespective of exchange rate fluctuations after the transaction.
